Terms of Service

1. Your Agreement

By accessing or using AgenticSQL's services, you agree to be bound by these Terms of Service. If you don't agree with any part of these terms, you may not use our service.

These terms apply to all users of the service, including free tier users, paid subscribers, and enterprise customers.

2. Your Account and Responsibilities

You are responsible for maintaining the security of your account and password. AgenticSQL cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.

You are responsible for all content stored in your databases and all activity that occurs under your account. This includes ensuring that your use of the service complies with all applicable laws and regulations.

You must be at least 13 years old to use this service. If you are under 18, you must have permission from a parent or guardian.

3. Our Service: The AgenticSQL Foundation

AgenticSQL provides a managed database foundation service ("The Service"). The Service runs on our secure, multi-tenant infrastructure, powered by Amazon Web Services.

When you subscribe to a plan, we provision and manage one or more PostgreSQL databases for your exclusive use. Think of it like a hotel: we own and maintain the building (the infrastructure), but your room (your database) is yours alone. We don't access your data, we don't share your resources with other tenants in ways that compromise your performance, and we don't peek into your database.

You are responsible for the code and data you store within your database. We are responsible for the underlying infrastructure that runs it, including security, backups, scaling, and uptime.

4. Fees, Payments, and Plans

Our pricing is all-inclusive. The plan fees listed on our pricing page cover the cost of our service and the underlying AWS infrastructure for your databases, within the generous limits of your plan.

There are no separate or surprise AWS bills from us. You pay us, we pay AWS. Simple.

If you exceed your plan's limits (storage, compute, bandwidth), we will notify you and work with you to either upgrade your plan or optimize your usage. Overages, if any, are billed transparently as per our Fair Use Policy.

All fees are non-refundable except as required by law or as explicitly stated in these terms. You may cancel your subscription at any time, and you will not be charged for subsequent billing periods.

5. Your Data, Your Freedom

You own your data. Period. The data you store in your AgenticSQL database belongs to you. We claim no intellectual property rights over the material you provide to the service.

We provide tools that allow you to request a full pg_dump of your database at any time through our dashboard or API. Because we use standard PostgreSQL, you have the freedom to migrate your data to any other PostgreSQL-compatible provider whenever you choose.

We don't lock you in. If you decide AgenticSQL isn't for you, you can take your data and leave. No questions asked, no export fees, no artificial barriers.

6. Acceptable Use Policy

You agree not to use the service to:

• Violate any laws or regulations
• Infringe on intellectual property rights of others
• Transmit malware, viruses, or malicious code
• Attempt to gain unauthorized access to our systems or other users' data
• Use the service to send spam or unsolicited communications
• Engage in cryptocurrency mining or similar resource-intensive activities without explicit permission
• Resell or redistribute the service without authorization

We reserve the right to suspend or terminate accounts that violate this policy.

7. Service Level Agreement & Backups

We strive for maximum availability for our infrastructure. Our target uptime is 99.9% for paid plans, though we make no guarantees. We will communicate any planned maintenance in advance.

Paid plans include automated daily backups with retention periods as described on our pricing page. Backups are stored securely and can be restored through our dashboard.

While we take every precaution, you are still responsible for your own data. We strongly recommend maintaining your own backups for critical data.

8. Limitation of Liability & Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL AGENTICSQL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Termination

You may cancel your account at any time through our dashboard. Upon cancellation, your access to the service will continue until the end of your current billing period.

We reserve the right to suspend or terminate your account if you violate these terms. We will provide notice when possible, but reserve the right to terminate immediately in cases of severe violations.

Upon termination, we will retain your data for 30 days to allow you to export it. After 30 days, your data will be permanently deleted from our systems.

10. Changes to Terms

We may update these terms from time to time. We will notify you of material changes by email or through a notice on our website at least 30 days before the changes take effect.

Your continued use of the service after the changes take effect constitutes acceptance of the new terms.
